1. Definitions

In these Terms, the following words mean what is stated next to them:

• "Sejel", "the Platform", or "we": the Sejel application and its online platform at sejel.app, plus any related domains and services.
• "User" or "you": the company or person who opens an account on the Platform or uses it in any capacity.
• "Owner": the original account holder who registered the business on the Platform.
• "Customer Data": everything you enter or generate by using the Platform (journal entries, invoices, balances, contacts, inventory, messages, etc.).
• "Service": AI accounting on WhatsApp, the web dashboard, reports, AI tools, and any related feature.

2. Acceptance & eligibility

By registering for an account on Sejel or using the Service in any way, you confirm that you:

• Have read these Terms and the Privacy Policy, understand them, and agree to them.
• Are at least 18 years old, or are legally authorised to contract on behalf of the company you are registering.
• The information you provided during signup is correct and accurate.
• Will use the Service for lawful business purposes.

If you do not agree to any clause, you must stop using the Platform immediately.

3. Account & security

Access to Sejel is via a one-time code sent to the registered WhatsApp number. You are responsible for:

• Keeping the devices that receive the login code secure.
• Every activity that occurs on your account, whether done by you or by team members you have authorised.
• Notifying us immediately if you suspect unauthorised access (via info@cmslevant.com).

The Owner may add team members and set their roles. Any action by an authorised team member is treated as an action of the company; Sejel is not required to verify their internal authority.

4. Service description

Sejel provides accounting and business management services for SMBs, including:

• Recording financial transactions via WhatsApp chat or the dashboard.
• Creating invoices, expenses, receivables, P&L reports, and more.
• Inventory, projects, team, and sales (CRM) management.
• AI-powered financial and executive advisor.
• Certified e-invoicing (ZATCA) for Saudi Arabia where applicable.

We may add, modify, or discontinue any feature at any time; material changes will be notified in advance.

5. Subscription & billing

• The prices published on the Pricing page apply. We may change them in the future, but your current plan stays on its current price until the end of the paid period.
• Billing is monthly or annual depending on the plan. Annual subscriptions are not refundable on a pro-rated basis.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Non-payment for more than 14 days past due may suspend the account. Your data is retained for 90 days before final deletion, and you can export it at any time.
• If you signed up through a discount or promotion, that promotion's terms apply in addition to these Terms.

6. Acceptable use

You agree NOT to use Sejel for:

• Any activity that violates the laws of your country or the hosting country.
• Money laundering, terrorism financing, or concealing suspicious transactions.
• Sending spam or unwanted messages via the WhatsApp channels the Platform provides.
• Attempting to hack the Platform, scanning it automatically without permission, or reverse engineering.
• Reselling the Service or making it available to a third party without our written consent.

Breach of these rules entitles us to suspend your account immediately without prior notice.

8. AI & its limitations

Sejel uses advanced AI models to help you record transactions, prepare reports, and offer management and financial advice. However:

• The AI assistant can sometimes misunderstand intent, miscalculate numbers, or err in analysis. You are responsible for reviewing every entry before confirming it.
• AI CFO and CEO Advisor advice is informational only and does not constitute professional accounting, legal, or investment advice. For major decisions, consult a licensed specialist.
• We strive for accuracy but do not guarantee outputs are error-free 100% of the time.

9. WhatsApp & messaging channels

The Service operates over WhatsApp and other messaging channels. You accept that:

• Messages go through an official WhatsApp API provider (such as 360dialog or Meta Cloud API) and are subject to WhatsApp's terms.
• The Platform may send you reminders, notifications, and periodic reports. You may turn these off from settings.
• We respect WhatsApp's anti-spam policies — we will only message your customers when you instruct us to.

10. Limitation of liability

The Service is provided "as is." To the maximum extent permitted by law:

• We do not warrant that the Service will be uninterrupted or error-free.
• We are not responsible for any decision you take based on data or analysis from the Platform. The final financial and management decision is yours.
• Our total monetary liability to you for any damage, whatever its cause, will not exceed the total you have paid the Platform in the 12 months preceding the event.
• We bear no liability for indirect or consequential damages (lost profit, reputation, opportunity, etc.).

11. Termination

• You may cancel your subscription at any time from account settings. Cancellation does not refund amounts already paid for elapsed periods.
• We may suspend or close your account if you breach these Terms, fall behind on payment, or your usage harms the Platform's security or other users.
• After termination, you may export your data within 90 days. Thereafter, we delete it permanently as described in the Privacy Policy.

12. Changes to these terms

We may update these Terms from time to time. If an update is material, we will notify you in advance via email or a dashboard notice. Continued use after the update means you accept the new version.

13. Governing law & disputes

These Terms are governed by the law applicable in the operating Owner's jurisdiction of the Platform. Any dispute arising from use of the Service we will first try to resolve in good faith via direct negotiation. Failing that, the dispute will be referred to arbitration in the competent region, in Arabic or English as agreed.
